1. Agreement to These Terms

Welcome to Roi de Soi. These Terms of Service ("Terms") govern your access to and use of roidesoi.com (the "Site") and any purchase you make through it.

Roi de Soi ("we," "us," "our") operates this online store selling apparel including polos, sweaters, cardigans, and loungewear. Our name means "king of self," reflecting the brand's focus on self-assured, elevated style.

By accessing the Site, browsing our products, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, and Returns & Exchanges Policy, each of which is incorporated here by reference. If you do not agree with any part of these Terms, please do not use the Site.

Please read Section 18 (Limitation of Liability) and Section 20 (Dispute Resolution) carefully. These sections limit our liability to you and affect how disputes between us are resolved.

The Site is hosted on the Shopify platform. Shopify provides us with the e-commerce platform that allows us to sell our products to you.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to place an order or create an account. If you are between 13 and 18, you may use the Site only with the involvement and consent of a parent or legal guardian, who accepts responsibility for your activity. The Site is not directed to children under 13, and we do not knowingly collect information from them.

You may not use our products or the Site for any illegal or unauthorized purpose, and you may not, in using the Site, violate any law in your jurisdiction, including copyright laws.

4. Your Account

You may browse and purchase as a guest, or create an account to track orders and save your details.

If you create an account, you are responsible for keeping your password confidential and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated. Notify us immediately at [roidesoiclothing@gmail.com] if you believe your account has been accessed without your permission.

We may suspend or terminate an account at our discretion, including for suspected fraud, abuse, repeated chargebacks, or violation of these Terms.

5. Products, Descriptions, and Availability

We work hard to describe and photograph our products accurately, including publishing garment measurements on product pages. Even so:

  • Colors and textures may appear differently on your screen than in person. Screen calibration, lighting, and photography all affect appearance, and we cannot guarantee an exact match.

  • Knitwear is produced across production runs and mills. Minor variation in measurements, weight, and shade between runs is normal in this category.

  • We do not warrant that product descriptions, pricing, or other content on the Site is complete, accurate, current, or error-free.

Products are subject to availability and may be discontinued or sold out at any time. We reserve the right to limit quantities, to limit sales to any person, household, or geographic region, and to discontinue any product without notice.

Some products are shipped from domestic warehouses and some from overseas warehouses. Where a product ships from is disclosed on the product page prior to purchase.

6. Pricing and Errors

All prices are listed in US dollars unless otherwise stated and are exclusive of shipping, taxes, duties, and customs fees, which are calculated at checkout or assessed by your local authority.

We reserve the right to change prices, promotions, and product offerings at any time without notice. Price changes do not apply retroactively to orders already accepted.

Despite our efforts, a product on the Site may occasionally be mispriced or contain a typographical error. If a product's correct price is higher than the price shown, we may, at our discretion, either contact you for instructions before shipping or cancel the order and notify you. We are not obligated to honor an order placed at an obviously incorrect price, even after your order is confirmed and your payment method has been charged. If we cancel for this reason, we will issue a full refund.

7. Orders and Acceptance

Your submission of an order is an offer to purchase, not a completed contract. Our order confirmation email acknowledges that we received your   order; it does not constitute acceptance. A contract is formed only when we ship the products to you.

We reserve the right to refuse, limit, or cancel any order for any lawful reason, including:

  • Suspected fraudulent, abusive, or unauthorized activity

  • Orders that appear to be placed by resellers, dealers, or distributors

  • Errors in pricing or product information

  • Product unavailability

  • Failure to pass address or payment verification

  • A shipping destination we cannot service

If we cancel an order after you have been charged, we will refund the full amount to your original payment method.

You agree to provide current, complete, and accurate purchase and account information, and to promptly update your email address and payment information so we can complete your transaction and contact you as needed.

8. Payment

We accept the payment methods displayed at checkout. Payment is processed by Shopify Payments and other third-party processors, and is subject to their terms and privacy practices. We do not store your full payment card details.

By submitting payment information, you represent that you are authorized to use the payment method and you authorize us to charge the full order amount, including shipping and applicable taxes.

If a payment is declined, reversed, or charged back, we may cancel the order, suspend your account, and pursue any amounts owed.

9. Shipping, Delivery, and Risk of Loss

Shipping timelines, rates, and destinations are described in our Shipping Policy, which forms part of these Terms.

Delivery estimates are estimates, not guarantees. Carrier delays, weather, customs processing, and peak-season volume can extend delivery beyond the stated window, and we are not liable for delays outside our reasonable control.

Title and risk of loss pass to you when the carrier takes possession of your package. Where a package is confirmed delivered by carrier tracking but you did not receive it, we will assist you in filing a carrier claim, but we are not obligated to replace or refund the order.

You are responsible for entering a correct and complete shipping address. We are not responsible for orders delivered to an incorrect address you supplied, and we cannot cover reshipping costs arising from an address error.

For international orders, you are the importer of record and are responsible for all duties, taxes, brokerage, and customs fees imposed by your country. These are separate from the amount you paid us and are not refundable by us.

10. Returns, Exchanges, and Cancellations

Our Returns & Exchanges Policy sets out the full terms, including the return window, condition requirements, the Return Authorization process, and which items are final sale. That policy forms part of these Terms.

In summary, and subject to that policy: returns must be initiated within 14 days of delivery, items must be unworn and unwashed with original tags and packaging intact, a Return Authorization is required before shipping anything back, and certain categories are final sale. Original shipping charges are non-refundable. We cover return shipping on a first-time sizing exchange and on any error or defect that is our fault.

11. Sizing Tools and Fit Recommendations

Our size charts, garment measurements, and the Find My Size tool are provided to help you choose, and we invest real effort in their accuracy. They are guidance, not a guarantee.

Recommendations are generated from the measurements you enter and from general grading standards. Individual body proportions, personal preference, garment variation between production runs, and how a knit relaxes with wear all affect fit. A size recommendation does not constitute a warranty that a garment will fit you, and receiving a recommendation does not change your rights or obligations under the Returns & Exchanges Policy.

Where a specific product page lists garment measurements, those measurements take priority over general size charts.

12. Promotions, Discount Codes, and Gift Cards

Promotional codes, discounts, and offers are subject to the specific terms stated with each offer. Unless expressly stated otherwise:

  • Codes may not be combined with other offers

  • Codes have no cash value and cannot be applied retroactively to completed orders

  • Codes may be limited to one use per customer and may expire or be withdrawn at any time

  • We may void a discount and cancel the associated order if a code is obtained or used fraudulently, resold, or used in a way that circumvents its intended terms

Gift cards, where offered, are non-refundable, cannot be redeemed for cash except where required by law, and are governed by the terms presented at purchase.

13. Email and Text Message Communications

By providing your email address, you agree to receive transactional messages about your orders. You may also opt in to marketing emails, and you can unsubscribe at any time using the link in any marketing message.

If you provide a mobile number and opt in to text messages, you consent to receive recurring automated marketing and transactional texts from Roi de Soi at that number. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply STOP to unsubscribe or HELP for help.

You are responsible for notifying us if your number changes or is reassigned.

14. User Conduct

You agree not to use this Site for any unlawful purpose, to interfere with its operation, or to attempt to gain unauthorized access to any part of the Site or its systems.

Without limiting that, you agree not to:

  • Introduce viruses, malware, or any code of a destructive nature

  • Use any robot, spider, scraper, or automated means to access the Site or collect content or data, except for standard search engine indexing

  • Circumvent, disable, or interfere with security-related features of the Site

  • Reverse engineer, decompile, or attempt to derive the source code of any part of the Site

  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any person on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability

  • Submit false or misleading information, impersonate any person or entity, or misrepresent your affiliation with any person or entity

  • Use the Site to transmit unsolicited commercial messages

  • Purchase products for the purpose of commercial resale without our written authorization

False statements and misuse of our brand. You agree not to post, transmit, or publish through this Site any content that is knowingly false, fraudulent, or defamatory, or that impersonates Roi de Soi, its owners, employees, or affiliates. You agree not to use the Roi de Soi name, logos, trademarks, or trade dress in any manner likely to cause confusion as to source, sponsorship, or endorsement, or in a manner that falsely suggests an affiliation with or endorsement by Roi de Soi.

Honest reviews are welcome. Nothing in these Terms restricts your right to publish honest reviews, opinions, or assessments of Roi de Soi, our products, our services, or our conduct, in any forum, including social media and third-party review sites. We do not and will not penalize any person for a truthful review.

Reservation of rights. We reserve all rights and remedies available at law and in equity with respect to knowingly false statements of fact, trademark infringement, misappropriation, tortious interference, and other unlawful conduct directed at our brand. Nothing in this section is intended to limit or discourage protected opinion or truthful commentary.

We may terminate your access to the Site for violating any of the above.

15. Reviews, Comments, and Submissions

If you send us product reviews, photographs, comments, creative ideas, suggestions, or other materials ("Submissions"), whether at our request or unsolicited, you agree that we may use, edit, copy, publish, distribute, translate, and otherwise use them in any medium, worldwide, without restriction, attribution, or compensation to you.

You represent that your Submissions are your own original work, do not violate anyone else's rights, are not false or misleading, and do not contain unlawful, obscene, or defamatory material. If your Submission includes a photograph of a person, you represent that you have their permission.

We are under no obligation to maintain any Submission in confidence, to pay compensation for it, or to respond to it. We may, but are not obliged to, monitor, edit, or remove content we determine in our sole discretion to be unlawful, offensive, threatening, defamatory, pornographic, or otherwise objectionable. We do not remove reviews simply because they are unfavorable.

16. Intellectual Property

The Site and its entire contents — including the Roi de Soi name and word mark, the lion crest logo, product photography, graphics, page layout and design, text, brand copy, and the selection and arrangement of all of it — are owned by Roi de Soi or our licensors and are protected by United States and international copyright, trademark, and trade dress law.

You may view, download, and print pages from the Site for your own personal, non-commercial use. You may not otherwise reproduce, distribute, modify, republish, sell, or create derivative works from any part of the Site without our prior written permission.

Product images supplied by our vendors remain the property of their respective owners and are used with authorization.

If you believe content on the Site infringes your copyright, contact us at [hello@roidesoi.com] with a description of the work, the location of the material on our Site, your contact information, and a statement of good-faith belief that the use is unauthorized.

17. Third-Party Links and Services

The Site may contain links to third-party websites, and we use third-party services for payment processing, analytics, shipping, marketing, and fulfillment. We are not responsible for the content, accuracy, policies, or practices of any third party, and inclusion of a link is not an endorsement.

Any transaction you enter into with a third party is between you and that third party. Please review their terms and privacy policies before engaging with them.

18. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.

We do not warrant that the Site will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. You use the Site at your own risk.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable consumer protection law. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROI DE SOI, ITS OWNERS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR SUBSTITUTE GOODS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

20. Indemnification

You agree to indemnify, defend, and hold harmless Roi de Soi and its owners, members, employees, agents, and suppliers from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms or the documents they incorporate, your violation of any law, or your violation of the rights of a third party.

21. Dispute Resolution and Governing Law

Informal resolution first. If you have a problem, contact us at [hello@roidesoi.com] before filing any claim. Most issues are resolved quickly this way, and we ask that you give us 30 days to try.

Governing law. These Terms and any separate agreements by which we provide you services are governed by the laws of the State of Louisiana, without regard to its conflict of law provisions.

Venue. Except as provided below, you agree that any action arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana, and you consent to the personal jurisdiction of those courts.

Small claims. Either party may bring an individual claim in small claims court if it qualifies.

Time limit. Any claim arising out of or relating to these Terms or the Site must be filed within one year after the claim arose, or it is permanently barred, except where a longer period is required by applicable law.

22. Termination

These Terms are effective unless and until terminated by either you or us. You may terminate by ceasing to use the Site and closing any account.

We may terminate or suspend your access at any time, without notice, if we believe you have breached these Terms. Obligations and liabilities incurred prior to termination survive it, as do Sections 15 through 21 and any other provision that by its nature should survive.

23. Changes to These Terms

We may update these Terms at any time by posting a revised version on this page and updating the "Last Updated" date. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

Changes will not apply retroactively to orders already accepted.

24. General Provisions

Severability. If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions remain in full force.

No waiver. Our failure to enforce any right or provision does not waive that right or provision.

Entire agreement. These Terms, together with our Privacy Policy, Shipping Policy, and Returns & Exchanges Policy, constitute the entire agreement between you and us and supersede any prior agreements or communications.

Assignment. You may not assign these Terms. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, severe weather, labor disputes, carrier disruptions, supply chain failures, government action, or acts of war or terrorism.

Headings. Section headings are for convenience only and do not limit or affect these Terms.

Ambiguities. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
